AUDATEX SOLUTIONS PRIVATE LIMITED WEBSITE TERMS OF USE
This document is published in accordance with the provisions of Rule 3 (1) of the Information Technology (Intermediaries guidelines) Rules, 2011 that require publishing the rules and regulations, privacy policy and Terms of Use for access or usage of the Site.
BACKGROUND & DEFINITIONS
- When these Terms of Use mention “ Audatex,” “we,” “us,” or “our,” it refers to AUDATEX SOLUTIONS PRIVATE LIMITED., that you are contracting with.
- When these Terms of Use mention “you” or “your” it refers to the users of the Site, subject to reference to the context, and shall mean any natural or legal person who is at least 18 years of age and could legally enter into a contract in India and could use the services and products provided on AUDATEX SOLUTIONS PRIVATE LIMITED Website in accordance with the terms and conditions recorded hereinafter.

Users may not modify, copy, distribute, transmit, display, publish, sell, license, create derivative works or otherwise use any information available on or through this Site for commercial or public purposes. Users may not use the trademarks, logos and service marks (“Marks”) for any purpose including, but not limited to use as “hot links” or meta tags in other pages or sites on the World Wide Web without the written permission of AUDATEX or such third party that may own the Mark. User agrees not to modify, move, add to, delete or otherwise tamper with the information contained in AUDATEX’s Web site. User also agrees not to decompile, reverse engineer, disassemble or unlawfully use or reproduce any of the software, copyrighted or trademarked material, trade secrets, or other proprietary information contained in the Site.

Although AUDATEX monitors the information on the Site, some of the information is supplied by independent third parties. While AUDATEX makes every effort to insure the accuracy of all information on the Site, AUDATEX makes no warranty as to the accuracy of any such information. LINKS TO THIRD PARTY SITES. AUDATEX prohibits unauthorized links to the Site and the framing of any information contained on the site or any portion of the Site. AUDATEX reserves the right to disable any unauthorized links or frames. AUDATEX has no responsibility or liability for any material on other Web sites that may contain links to this Site.

Protecting the privacy of our clients and users of our Sites is important to AUDATEX. AUDATEX Web Site Privacy Statement describes how we use and protect information you provide to us.

TRANSMISSION OF PERSONAL DATA.
User acknowledges and agrees that by providing AUDATEX with any personal information through the Site, User consents to the transmission of such personal user information over international borders as necessary for processing in accordance with AUDATEX standard business practices and the AUDATEX Web Site Privacy Statement.
ACCESS TO PASSWORD PROTECTED/SECURE AREAS.
Access to and use of password protected and/or secure area of the Site is restricted to authorized users only. Unauthorized access to such areas is prohibited and may lead to criminal prosecution.
SEVERABILITY
Each provision of these Terms of Use shall be separate, independent and severable from any other provision contained herein, except where expressly provided for or indicated by context. The invalidity, legality or unenforceability of any provision contained herein shall not affect the remaining provisions, which shall remain valid and enforceable to the fullest extent permitted by Applicable Laws.
WAIVER
No failure or delay by AUDATEX relating to the exercise of any right, power, privilege or remedy provided under these Terms of Use shall operate as a waiver of such right, power, privilege or remedy or as a waiver of any preceding or succeeding breach by you nor shall any single or partial exercise of any right, power, privilege or remedy preclude any other or further exercise of such or any other right, power, privilege or remedy provided in these Terms of Use all of which are several and exclusive of each other or of any other rights or remedies otherwise available to AUDATEX under Applicable Law or in equity.
DISPUTE RESOLUTION
- Any dispute arising out of or in connection with this contract, including any question regarding its existence, validity or termination, shall be referred to and finally resolved by binding arbitration.
- The number of arbitrators shall be [one/three].

- The governing law of the contract shall be the substantive laws of the Republic of India.
TERMINATION
In case of non-compliance of any rules and regulations, user agreement, and/or privacy policyfor access or usage of the Site by the User, AUDATEX has the absolute right to immediately terminate the User’s access rights to the Site, and remove any non-compliant information from the Site.
